CanopyStone Provider Terms of Service

BY CLICKING "GO LIVE" AND CHECKING THE CERTIFICATION BOX, YOU ("PROVIDER") AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT WITH BYTESCAPED LLC ("PLATFORM"):

1. Independent Business Entity & Autonomy

You warrant that your business is an independently established commercial enterprise offering services to the general public. You retain sole discretion over the means, methods, scheduling, equipment, and personnel used to perform any work. CanopyStone does not supervise, direct, or control your on-site work and operates solely as a communications, scheduling, and billing technology intermediary.

2. Truth in Records & AI Extraction

You confirm that you have reviewed the business name, contact information, tax classification, and bank routing credentials on your profile and certify they are true, accurate, and match your legal entity. You assume full legal liability for any inaccuracies.

3. Insurance & Crew Warranty

You certify that you maintain active Commercial General Liability insurance meeting platform requirements, with Bytescaped LLC named as an Additional Insured with a Waiver of Subrogation. You warrant that all employees, helpers, and subcontractors dispatched under your account are covered under your insurance, meet statutory Workers' Compensation requirements (or applicable sole-proprietor exemption statutes), and have cleared criminal safety screening. You assume 100% legal responsibility for the acts, omissions, and damages of any personnel you deploy.

4. Escrow Holds & Payout Settlement

You agree to the CanopyStone Fee Schedule (including platform take-rates, tiered margin caps, and marketing surcharges). You acknowledge that customer payments are captured into platform escrow and released via Stripe Connect Express only upon verified customer sign-off or the expiration of the 5-day auto-approval timeout following verified job completion.

5. Chargebacks, Disputes & Offset Rights

You agree that you are solely responsible for service quality and performance. If a customer initiates a payment dispute, credit card chargeback, or cancellation resulting from incomplete work, property damage, or non-performance, you authorize CanopyStone to:

(a) Reverse the applicable payout transfer;

(b) Deduct the disputed amount, processing costs, and dispute fees from any current or future scheduled payouts; or

6. Defense & Broad Indemnification

You agree to defend, indemnify, and hold harmless Bytescaped LLC, its officers, directors, employees, and agents from any and all third-party claims, lawsuits, property damages, personal injuries, chemical drift claims, worker injuries, or employee misclassification actions arising out of or related to your services or operations on customer properties.
